TERMS OF SERVICE

Welcome to Lumatrix Media.

Lumatrix Media (“Lumatrix”, “we”, “our”, or “us”) provides professional video editing services, including but not limited to real estate video editing, marketing videos, social media content, and related post-production services.

By submitting files, placing an order, or using our services, you (“Client” or “Customer”) agree to be bound by these Terms of Service.

1. SERVICES

Lumatrix Media provides video editing services based on the materials, footage, and instructions supplied by the Client.

The Client may request unlimited revisions within the original scope and objectives of the project until satisfied with the final result.

Requests that substantially alter the original concept, project scope, footage, objectives, or editing direction may be treated as a new project and may incur additional charges.

Lumatrix Media reserves the right to refuse any project that violates applicable laws, infringes intellectual property rights, or contains unlawful, harmful, offensive, or inappropriate content.

2. DELIVERY

Upon completion, Lumatrix Media will provide the Client with a preview version of the project for review and approval.

Once the Client approves the preview and completes payment, Lumatrix Media will provide access to the final deliverables through a file-sharing platform selected by Lumatrix Media.

While reasonable measures are taken to protect delivered files, no online delivery system can be guaranteed completely secure.

Estimated turnaround times are provided in good faith and may vary depending on project complexity, revision requests, workload, technical issues, or other circumstances beyond Lumatrix Media’s reasonable control.

3. PAYMENT AND NO-REFUND POLICY

All payments must be made in United States Dollars (USD).

Lumatrix Media accepts payment exclusively through PayPal.

Payment becomes due only after the Client has reviewed and approved the preview version of the completed project.

Final downloadable files will be released only after full payment has been received and confirmed.

Because the Client has the opportunity to review the work and request revisions before payment, all payments are considered final.

LUMATRIX MEDIA DOES NOT PROVIDE REFUNDS UNDER ANY CIRCUMSTANCES AFTER PAYMENT HAS BEEN MADE.

This policy applies regardless of changes in business needs, personal preferences, project cancellation, delayed use of the content, or any other reason.

4. OWNERSHIP AND PORTFOLIO RIGHTS

The Client represents and warrants that they own or have obtained all necessary rights, permissions, and licenses for any footage, audio, graphics, logos, trademarks, or other materials submitted to Lumatrix Media.

The Client retains full ownership of all original materials and final deliverables upon completion of payment.

Unless the Client requests confidentiality before the project begins, the Client grants Lumatrix Media a non-exclusive, perpetual, worldwide, royalty-free right to use completed projects, screenshots, previews, before-and-after comparisons, excerpts, and related materials for:

  • Portfolio purposes;
  • Marketing and promotion;
  • Advertising;
  • Educational purposes;
  • Internal training;
  • Business development activities.

If the Client requires confidentiality, the Client must notify Lumatrix Media before the project begins.

Upon acceptance of such request, Lumatrix Media will not publicly display or use the project for promotional purposes.

5. DATA RETENTION

Lumatrix Media does not guarantee permanent storage of project files, source files, working files, or completed deliverables.

Unless otherwise agreed in writing, project files and related working materials may be permanently deleted thirty (30) days after the Client has completed payment.

The Client is solely responsible for downloading, backing up, and securely storing all delivered files.

After the thirty (30) day retention period, Lumatrix Media shall have no obligation to restore data, provide access to archived files, perform additional revisions, or recover previously delivered projects.

Any request made after the retention period may be treated as a new project and may be subject to additional charges.

6. DISCLAIMER OF WARRANTIES

Except as expressly stated in these Terms, all services are provided on an “AS IS” and “AS AVAILABLE” basis.

Lumatrix Media does not guarantee that:

  • Services will be uninterrupted or error-free;
  • Project files will be stored indefinitely;
  • Delivered content will achieve any specific business, marketing, sales, financial, or performance results.

To the maximum extent permitted by applicable law, Lumatrix Media disclaims all warranties, whether express or implied.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Lumatrix Media shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of data;
  • Business interruption;
  • Reputational damage.

In all circumstances, Lumatrix Media’s total liability arising from or relating to a project shall not exceed the total amount paid by the Client for that specific project.

8. TERMINATION OR REFUSAL OF SERVICE

Lumatrix Media reserves the right to refuse, suspend, or terminate services to any Client for any lawful reason, including but not limited to:

  • Fraudulent activity;
  • Abusive behavior;
  • Unlawful content;
  • Intellectual property infringement;
  • Violation of these Terms of Service.

Lumatrix Media shall have no obligation to refund payments for completed work.

9. FORCE MAJEURE

Lumatrix Media shall not be liable for delays, interruptions, or failures caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters;
  • Internet outages;
  • Power failures;
  • Cyberattacks;
  • Pandemics;
  • Government actions;
  • War;
  • Labor disputes;
  • Failures of third-party platforms or service providers.

10. CHANGES TO THESE TERMS

Lumatrix Media reserves the right to modify or update these Terms of Service at any time.

The version of the Terms in effect on the date a project is submitted shall govern that project.

Continued use of our services constitutes acceptance of any revised Terms.

11. GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of Vietnam.

Any dispute arising out of or relating to these Terms of Service or the use of Lumatrix Media’s services shall be subject to the exclusive jurisdiction of the competent courts of Vietnam.
